We are seeking an experienced Attorney - Leveraged & Corporate Finance to provide sophisticated legal advisory services in connection with corporate finance transactions.

Responsibilities

• Advise clients on complex acquisition finance, leveraged finance, and corporate finance transactions.

• Represent and counsel private equity sponsors, private credit funds, and large corporate borrowers.

• Draft, review, and negotiate complex financing documents, including credit agreements, indentures, and security agreements.

• Supervise, mentor, and train junior lawyers on ancillary financing documentation and due diligence processes.

• Handle a broad range of financing transactions, including:

  • Acquisition and leveraged finance

  • Corporate finance

  • Fund finance

  • Debt restructuring

  • Cross-border financing transactions

Qualifications

• Juris Doctor (J.D.), Master of Laws (LL.M.), or foreign equivalent.

• Minimum of 5 years of experience at a corporate law firm handling complex finance transactions.

• Strong experience representing private equity sponsors, private credit funds, or large corporate borrowers.

• Extensive experience negotiating financing documentation and conducting due diligence.

• Must be licensed to practice law in the State of New York.
